Bylaws section 5.1 provides that HHNC’s governing body shall be a board of directors composed of not less than twelve (12) or more than twenty-four (24) members in good standing.
*Bylaws section 5.1 provides that a director must step down for at least one year after serving three consecutive three-year terms.
**The Crooks family’s right to one seat on the Honey Hollow Nature Center’s (formerly Bucks County Audubon Society (BCAS)) Board of Directors is sourced in the Agreement of Gifts dated 12/29/1980 and 12/23/1988 between the Crook Family and Heritage Conservancy regarding Solebury Lots 41-013-80 and 82.
Those agreements provide that the family shall have the right to name one family member to be a “full” voting member of the Honey Hollow Watershed Association (HHWA) or its successor until the year 2050. HHWA was not a signatory to either gift agreement. It is assumed that BCAS is HHWA’s successor organization and for this reason provides the family with one board seat. This provision also appears in the BCAS Bylaws, Section 5.7.
